Twitter Deal Break!

Elon Musk has put his takeover of Twitter “temporarily on hold” over concerns about the number of spam and fake accounts on the social media platform, raising doubt over whether he will complete the $44bn deal at all.

Elon announced on Twitter today that the deal was being held “pending details supporting” a calculation in the company’s regulatory filings suggesting that the number of fake accounts on the platform represents under 5 per cent of its 229mn users.

The statement immediately hit Twitter’s share price, with the stock tumbling about 10 per cent.

It is a damning indictment of modern human beings that we are so scientifically ignorant, and credulous (in the twenty first century!), that so many can fall under his spell. Think of how many wild promises he has made that he could NEVER possibly deliver on, that people have invested BILLIONS in. Elon Musk is no more than a manipulative frat boy, wrapped in a fifty-five gallon drum, filled with Cheez-Whiz.

  17. Elon fans think he's always playing 4d chess. He's obviously brilliant but I always felt this deal was an egoistic attention getting move that wasn't really thought through. Also, it's not wise for him to be revealing his political leanings and actually influencing elections. As a TSLA shareholder ( my biggest holding ) this has been idiotic to watch. It's not a good look if you claim to be helping humanity and fight climate change but the far right climate deniers are your biggest fans.

  25. I don’t understand what you are saying. Did you make a mistake about Delaware law or about profitability? If their fake account problem is more than five times larger than expected, that could substantially impact profitability, including well beyond the 40% threshold. It could potentially erase their profit when advertisers demand lower prices to account for the real traffic and if Twitter is eaten up in fraud lawsuits.

  27. MUSK knew years ago that Twitter was operating with 50 percent of its users as bots. He got that info from the NSA via Trumps team. SO YES, ELON CAN BREAK THE DEAL based on Twitters FRAUDULANT data filings. Its like selling a car on EBAY stating it has 50k miles when in fact it shows 100k miles. E THis is all to show Twitter is nothing more than a deep state propaganda platform with no real icentive towards revenue. Its also ran on government servers which Twitter fails to disclose. Once Elon buys twitter and the deep state refuses to provide further server access, this would also affect Elons future revnue earnings if he is to then have to pay for servers at 100s of millions of dollars where at the moment, Twitter is getting those servers FOR FREE. So there is a lot behidn the scenes that we dont know about but Musks team is well aware of. This is not going to go well for twitter. ITS MORE OF A PULL THE CURTAIN TO EXPOSE THE WIZZARD than it is a buy out. Musk really doesnt give two shlts about owning twitter. He is gonna show its a government organization that never really wanted to be in the hands of the public

  30. Elon Musk, discoverer of fire and the inventor of the garbage dumpster, said this:

    "20% fake/spam accounts, while 4 times what Twitter claims, could be much higher. My offer was based on Twitter’s SEC filings being accurate. Yesterday, Twitter’s CEO publicly refused to show proof of <5%. This deal cannot move forward until he does."

    I await Patrick's video that will be uploaded mere minutes after Musk bails on Twitter. All of those disparaging comments on his previous video will age so, so well like fine milk on a hot summer's day.

  35. Hi. I'm not an investor and I don't know whether or not buying Twitter is a good idea. I wouldn't but for the same reason I wouldn't buy a rabid dog. Fun to watch the fireworks but that's my only interest.

    On the contract law, I know a good bit more. In my non-expert opinion the stipulation that the daily user numbers might be inaccurate only protects Twitter if the numbers are not significantly inaccurate. They should have a confidence margin but even without one it would be hard to get a court to enforce a contract with unreasonably large discrepancies.

    But I don't see Twitter trying to enforce the contract even if they wanted to – if those daily user numbers are badly off, Twitter is going to be busy with a lot of fraud suits from advertisers. You'd know better than I but that kind of legal liability to fraud charges seems like it would devalue a company's worth.

Off load Tesla stock and do maximum hurt to those self righteous twitter directors and woke liberal team banning and cancelling presidents accounts whilest highlighting just how many gov controlled bots and fake accounts there are, for a 1bn penalty, tax deductible. Genius move and a real poke in the eye to the establishment. Do not underestimate this move, twitter is broken, I'm sure Elon would buy it but they haved lied through their beaks about the number of real users on that platform for years and years. Yes the contract might be a dumpster fire, but it has clauses and who cares about legal precedent in Delaware,maybe that's why he filed it there? The courts will take years ultimate tying up twitter in a legal battle where again Elon would gain full disclosure to the accounts to prove twitter has been lying through its beak. This is great stuff, entrepreneurs should be taking notes on the big picture not knitpicking legalities and 'common practice' this is about way way more than that, what? You ask. It's about freedom of speech which no one of you handbag clutchers seems to have mentioned getting too tired up in the details.

  40. Patrick, you don’t have the mindset of a troll, so you think Elon is behaving in irrational ways. He’s acting like a 4chan shitposter. We’ll see what happens but what if he ends up showing how Twitter lied to its advertisers regarding bot accounts and committed fraud? What if he still buys the company but at a massively lower value?
